CIMA BA4: Fundamentals of Ethics, Corporate Governance and Business Law
An accountant's most valuable asset is not technical skill but trust: the confidence others place in their integrity and judgement. BA4, Fundamentals of Ethics, Corporate Governance and Business Law, is the paper that builds and tests that foundation. It steps away from numbers entirely to ask a different sort of question — not can you calculate, but do you know how a professional should act, how organisations are kept honest, and what the law expects of them.
What is CIMA BA4?
BA4, Fundamentals of Ethics, Corporate Governance and Business Law, completes the CIMA Certificate in Business Accounting (Cert BA), and it stands apart from its three companions in one fundamental respect: there is not a calculation in sight. In place of costing and bookkeeping, it deals in principles, judgement, and rules, spanning the ethics an accountant must uphold, the governance that holds organisations to account, and the essentials of business law. It instils the professional conscience CIMA expects, and its themes — ethics most of all — echo through every level of the qualification that follows.
Marking uses CIMA's scaled system, where scores run to a ceiling of 150 and 100 is the line to clear. Because papers are drawn from a large bank and no two are quite alike, the scale holds the standard constant for everyone. The pass rate sits at roughly 57%, a little beneath the more technical papers, largely because the precise recall of principles and law is easy to underestimate. As with the rest of the Certificate, the exam is offered on demand across the year and booked whenever it suits you. BA4 is thoroughly learnable; it simply asks for careful, precise understanding in place of the calculation drills that carry the other papers, and the students who respect that difference tend to do well.
In one line: BA4 teaches you how a professional should act, how organisations are kept honest, and what the law expects of them — with no calculations at all.
Who BA4 is for
The worth of BA4 is quietly considerable, because it shapes how you will be trusted to act. This is the bedrock of professional conduct, and it explains why CIMA places ethics at the very centre of the qualification rather than somewhere near its edge.
- A working command of the CIMA Code of Ethics and the five fundamental principles that steer every professional decision.
- An understanding of corporate governance and internal control, and why sound oversight keeps organisations honest.
- A firm grasp of the legal essentials — contract, employment, and company law — that frame everyday commercial life.
BA4 suits anyone closing Cert BA, and anyone who needs to learn not merely how to account, but how to do so with integrity and within the law. It can be sat in any order alongside BA1, BA2, and BA3.
Syllabus & topics covered
Rather than advancing through techniques, the BA4 syllabus maps the professional and legal landscape an accountant works within. Corporate governance is the heart of the paper and the single largest area, taking in board structures, internal control, audit, and corporate social responsibility. Ethics follows closely, exploring the fundamental principles and the conflicts that put them to the test, while the remaining marks cover the legal framework of contract and employment and the administration of companies. Governance and ethics together make up three-quarters of the exam, and that is where your reading should run deepest.
Business ethics and ethical conflict
30% of the paper. The CIMA Code of Ethics, the five fundamental principles, the threats and safeguards around them, and the resolution of ethical conflict.
Corporate governance, controls and corporate social responsibility
45% of the paper, the largest slice. Board roles, directors' duties, internal control, the purpose of internal and external audit, and the wider duties a business owes to society beyond its shareholders.
General principles of the legal system, contract and employment law
15% of the paper. Formation, terms, and breach of contract, together with the basics of the employment relationship.
Company administration
10% of the paper. How companies are formed, run, and ultimately dissolved.
Anchor your revision in governance and ethics, and the legal and administrative topics will round out a well-balanced preparation. Nothing on the syllabus is out of bounds. CIMA revises its exam blueprints from one year to the next, so pick study materials tied to the exact sitting you are aiming for.
BA4 exam format
Like the other Certificate papers, BA4 is a two-hour computer-based test sat on demand through Pearson VUE, but three things about it are different: there are eighty-five questions rather than sixty, the questions are shorter and frequently scenario-based, and no calculator is offered or required.
A wider spread of conceptual topics needs broader sampling to be examined fairly, which is why BA4 has 85 questions rather than the 60 of the other Certificate papers. A brisk and decisive pace counts for a good deal. A slip on one question never pulls down another, even when items share a scenario.
Where BA4 fits in the CIMA pathway
BA4 completes Cert BA alongside BA1, BA2, and BA3. Its themes — ethics most of all — echo through every level of the qualification that follows.
BA4 is the paper that turns technical ability into professional standing — the point at which you learn not merely how to account, but how to do so with integrity and within the law. Clearing it means you carry the ethical and legal awareness that marks out a trusted professional, long after the Certificate is behind you.
How to prepare for BA4
BA4 answers to precise understanding and dependable recall rather than the repetition of technique. Prepare with care and a strong pass is well within reach.
- Learn the fundamental principles by heart. The five ethical principles are the spine of the paper, so know them well enough to apply, not merely to name. An ethical question often has a correct response that gut feeling alone would miss — let the Code guide you, not common sense.
- Study the definitions closely. Governance and law hinge on exact terms, and a loose hold on wording is where marks quietly slip away. Objectivity and independence, or the roles of internal and external audit, are easily conflated, and the wrong options are written to exploit exactly that.
- Think in situations. Practise spotting the ethical or legal issue inside a short scenario, since that is precisely how the exam frames its questions.
- Get used to the volume. Eighty-five items in two hours means reading at speed and committing to an answer without dithering. Many items simply reward the plain application of a principle — do not read complexity that is not there.
- Practise with large question banks. Repeated exposure to exam-style questions is the surest way to lodge principles and rules in memory.
- Return to whatever you get wrong. In a recall-heavy paper, closing a small gap in understanding translates straight into marks on the day. Do not assume no maths means no effort — no calculations can feel like less to revise, until the questions call for pinpoint knowledge.
